Event Terms & Conditions
BY ENTERING YOUR NAME AND INFORMATION TO BE CONSIDERED FOR THE IFIT PORTUGAL TRIP, YOU UNCONDITIONALLY AND IRREVOCABLY AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS (“TERMS”), WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE SUBMITTING YOUR INFORMATION. PLEASE NOTE THAT THESE TERMS INCLUDE A LIMITATION OF YOUR LEGAL RIGHTS AND REMEDIES. WE DRAW YOUR ATTENTION TO THE RELEASE AND LIABILITY SECTION OF THESE TERMS.
1. COMPANY: iFIT Inc. (“Company”), 1500 South 1000 West, Logan, UT 84321.
2. ELIGIBILITY: The iFIT Portugal Trip (the “Event”) is open only to legal residents of the fifty (50) United States (including District of Columbia) who are 18 years or older at the time of participation, have a valid passport, and who are or have been an iFIT subscriber. Void where prohibited by law. Employees of iFIT Inc. or any of its respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production execution, or distribution of the Event and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and household members (people who share the same residence at least three (3) months out of the year) of each such employee are not eligible to participate. The Event is subject to all applicable federal, state, and local laws and regulations. Participation constitutes the entrant’s full and unconditional agreement to these Terms and Company’s decisions, which are final and binding in all matters related to the Event. To be considered as a potential participant in the Event, you must fulfill all requirements set forth in these Terms.
3. ENTRY PERIOD: The entry period for the Event will begin on August 30, 2024 at 12:00:01 am Pacific Time (“PT”) and ends on September 6, 2024 at 11:59:59 pm Pacific Time (“PT”). All entries must be received before the Entry Period’s end time/date to be valid."
4. HOW TO ENTER: Entrants must comply with the following instructions to be considered as a potential participant in the Event:
5. ENTRANT SELECTION: On or before September 9, 2024, Company will select and notify entrants to participate in interviews with Company representatives. Chosen entrants will be notified by email or phone using the contact information provided at the time the Entry is submitted. Entrants will be selected based on the information supplied at the time of entry as well as the entrant video. Following completion of the interviews, Company will notify those entrants who have been selected to attend and participate in the Event.
6. ENTRY REQUIREMENTS: Entrants who do not follow all of the instructions, provide the required information, and abide by the Terms or other instructions of Company may be disqualified. Entries must comply with the Entry (defined below) requirements set forth herein to be valid. As used herein, “Entry” refers to all content you submit in connection with the Event (including, but not limited to, photos, answers, descriptions, explanations, etc.), if any. Company reserves the right to remove any Entry that does not adhere to the Entry requirements, as determined in Company’s sole discretion, and/or disqualify the entrant. Entries must be in English. By submitting an Entry for the Event, you hereby warrant and represent that your Entry conforms to all Entry requirements set forth herein.

Automated entries are prohibited, and any use of automated devices will cause disqualification. Entrants may not enter with multiple e-mail addresses nor may entrants use any other device or artifice to enter multiple times or as multiple entrants. Any entrant who attempts to enter with multiple e-mail addresses, under multiple identities/accounts, or uses any device or artifice to register multiple times will be disqualified. Multiple entrants are not permitted to share the same e-mail address.
Each entrant represents and warrants that their Entry is the original work of such entrant, it has not been copied from others, it does not violate the rights of any other person or entity, and publication of the Entry, via various media including Web posting, will not infringe on the rights of any third party. Any such entrant will indemnify and hold harmless the Released Parties (defined below) from any claims to the contrary. Any entrant whose Entry includes likenesses of third parties or contains elements not owned by the entrant (such as, but not limited to, depictions of persons, buildings, trademarks, or logos) must be able to provide legal releases for such use, including Company’s use of such Entry, in a form satisfactory to administrator, upon request.
By submitting an Entry, you agree that your Entry is gratuitous and made without restriction, and will not place Company under any obligation, that Company is free to use or otherwise disclose the ideas contained in the Entry on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your Entry, Company does not waive any rights to use similar or related ideas previously known to Company, or developed by its employees, or obtained from sources other than you.
BY SUBMITTING AN ENTRY, ENTRANT ACKNOWLEDGES AND AGREES THAT THE ENTRY MAY BE POSTED ON COMPANY’S WEBSITE OR ELSEWHERE ON THE INTERNET AS AUTHORIZED BY COMPANY, AT COMPANY’S SOLE DISCRETION. Submission of the Entry grants Company and its agents an unlimited, worldwide, and perpetual license and right to publish, use, and publicly perform the Entry in any way, in any and all media, without limitation, and without consideration to the entrant. For this purpose, each entrant hereby waives any moral rights the entrant may have in the Entry in favor of Company.
ENTRIES SUBMITTED AND/OR POSTED ON SOCIAL MEDIA ARE NOT EDITED BY COMPANY AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF COMPANY IN ANY MANNER. Any waiver of any obligation hereunder by Company does not constitute a general waiver of any obligation to entrants. Company reserves the right to waive the Entry requirements set forth herein at Company’s reasonable discretion. Company reserves the right, in its reasonable discretion, during or upon completion of the Entry Period, to request that any entrant resubmit an Entry that fails to comply with the Entry requirements prior to choosing entrants to participate in interviews with Company representatives.
7. EVENT DETAILS: Entrants who are selected to attend and participate in the Event following interviews with Company representatives will receive a paid trip to Portugal to participate in the Event. Expenses covered by Company will include: roundtrip air transportation (coach) from a major U.S. gateway airport nearest the entrant’s home, hotel accommodations, food provided on set, and a stipend to be determined to cover food, parking, airport transportation, and other incidental costs. Company will provide transportation to and from the Lisbon airport. Travel dates will be determined based on Company’s sole discretion. The location for the Event will be Herdade Da Cortesia, 7480-102 Avis, Portugal.
8. VERIFICATION OF CHOSEN ENTRANTS: Chosen entrants must continue to comply with these Terms. Chosen entrants may be required to provide the Company with documentation that shows he or she was an eligible entrant. The chosen entrant will be required to sign and return to Company, within two (2) business days of the date notice is sent, an affidavit of eligibility, and liability/publicity release (except where prohibited).
9. ENTRY CONDITIONS AND RELEASE: By entering their information to participate in the Event, each entrant agrees to: (a) comply with and be bound by these Terms; (b) release and hold harmless the Company and each of its respective parents, subsidiary, and affiliated companies, and any other organizations responsible for fulfilling, administering, advertising, or promoting the Event, and all of their respective past and present officers, directors, employees, agents, and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright, or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant’s entry, creation of an entry, or submission of an entry, participation in the Event, and/or the broadcast, exploitation, or use of an entry; and (c) indemnify, defend, and hold harmless the Company from and against any and all claims, expenses, and liabilities (including reasonable attorneys fees) arising out of or relating to an entrant’s participation in the Event.
10. PUBLICITY: Except where prohibited, participation in the Event constitutes entrant’s consent to Company’s and its agents’ use of the entrant’s name, likeness, photograph, voice, opinions, and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.
11. GENERAL CONDITIONS: Company reserves the right in its sole discretion to cancel, suspend, and/or modify the Event. Company reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Event or to be acting in violation of these Terms. Any attempt by any person to deliberately undermine the legitimate operation of the Event may be a violation of criminal and civil law, and should such an attempt be made, Company reserves the right to seek damages from any such person to the fullest extent permitted by law. Company’s failure to enforce these Terms shall not constitute a waiver of that provision.
12. LIMITATIONS OF LIABILITY: The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrants, printing errors, or by any of the equipment or programming associated with or utilized in the Event; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the entry process or the Event; (d) technical or human error which may occur in the administration of the Event or the processing of entries; or (e) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Event or receipt or use or misuse of any prize. If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Event.
13. DISPUTES: Entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Event shall be resolved individually, without resort to any form of class action; (b) any and all disputes, claims, and causes of action arising out of or connected with this Event shall be resolved exclusively by the United States District Court or the appropriate Utah State Court located in Cache County, Utah; (c) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Event, but in no event attorneys’ fees; and (d) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms, or the rights and obligations of the entrant and Company in connection with the Event, shall be governed by, and construed in accordance with, the laws of the State of Utah, without giving effect to any choice of law or conflict of law rules (whether of the State of Utah or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Utah.
